How does company registration work in Israel?

1. Where to register a private company (Ltd.)
A private company (חברה פרטית בע״מ / Ltd.) is the standard legal form used to incorporate businesses in Israel under the Companies Law, 1999. Registration is handled by the Israeli Registrar of Companies (Ministry of Justice).
Incorporation is largely digital and private companies can usually be registered:
- Online (most common), or
- In person (less common)
Online filing is typically available to applicants who can authenticate via Israeli digital identification methods (e.g., smartcard/GovID), and many registrations are submitted through a lawyer.
2. Typical processing time
Private company registration in Israel is usually fast. The registration of a private company can take from 1 to 3 days after submission, while registration for foreign companies typically takes around 7 days.
3. Key requirements for registering a private company (Ltd.)
Broadly speaking, the Registrar of Companies requires:
1) Company name
Applicants typically submit three name options in order of preference. The Registrar selects the first eligible option. If the company is limited liability, the registered name should include “Ltd.” / בע״מ. Companies can opt to have an English translation or transliteration of their name.
2) Registered address
The company must provide a full official address (not a P.O. box).
3) Eligibility notes and proofs
Applicants and initial officeholders must generally meet basic eligibility checks reflected in the Registrar process (for example, not being under certain legal restrictions such as bankruptcy/execution limitations, and not appearing on certain “violator company” restrictions in the registry systems).

A sole proprietorship is not a company and is not incorporated with the Registrar of Companies. It is an individual conducting business, registered mainly through the tax authorities. Sole proprietors do not have shareholders, directors, or a limited liability structure.
Foreign company (חברה זרה)
A foreign company is a corporation incorporated abroad that registers to operate in Israel. Registration typically takes ~7 days and requires documents such as bylaws, certificates of incorporation and good standing, and the appointment of an authorized representative in Israel. Foreign companies retain their original foreign legal forms, i.e. a German GmbH does not become an Ltd. or a בע״מ. Additionally liability is not limited to the Israeli subsidiary alone.
Public company (חברה ציבורית)
In Israel, a company cannot be registered as a public company from the start. A private Ltd. becomes public only by completing an IPO or another public offering approved by the Israel Securities Authority (ISA) and (if listing in Israel) the Tel Aviv Stock Exchange (TASE).
