Procura

Procura is a legally defined form of commercial authorization under German corporate law that grants an individual (the Prokurist) broad authority to act on behalf of a company in business transactions.

 

It allows the holder to perform almost all judicial and extrajudicial activities related to the operation of the business, including signing contracts and representing the company externally. However, certain actions—such as selling real estate or liquidating the company—require explicit additional authorization. Prokura must be explicitly granted and registered in the commercial register.
