Authorized Signatory

Authorized Signatory (Prokurist) is a person who has been granted Prokura, a legally defined form of commercial authorization under German corporate law. An authorized signatory has broad authority to act on behalf of a company in business transactions.

This authority allows the holder to perform almost all judicial and extrajudicial activities related to the operation of the business, including signing contracts and representing the company externally. However, certain actions, such as selling real estate or liquidating the company, require explicit additional authorization. Prokura must be expressly granted by the company and registered in the commercial register.
